SENIOR LAWYER (CORPORATE LAW)

We are looking for a colleague, who would join the Ignitis group and fill the role of corporate secretary of the Management Board of Ignitis group and help us take care of good corporate governance. Your knowledge and experience in the boardroom would be the most important resources the Management Board has. This position is a unique opportunity to work with top level executives and become a valuable partner of the executive management team.

Your key areas of responsibilities will be:

• Advise the Management Board on its roles and responsibilities.
• Serving as a key consultant to the business team in the preparation of materials to be presented to the Management Board or other corporate boards, committees, and shareholder meetings. 
• Participating in Management Board meetings, drafting decisions and minutes of the Management Board and ensuring compliance with the laws of the Republic of Lithuania and the company's internal regulations.
• Facilitate the Management Board communications.
• Support and advice other corporate secretaries in subsidiaries governance, help them to ensure alignment of processes across the group.
• Support the development and ensure the compliance of the corporate governance best practices in the Ignitis Group.
• Drafting and coordinating statutes, powers of attorney and internal legal acts, assessing draft documents prepared by other departments.
• Advise staff on the application of external and internal legislation within the scope of its competence.

• Have a university degree in law.
• Have at least 3 years of experience in legal work and at least 1 years of experience in corporate law (experience in the group of companies would be an advantage).
• Strong understanding and knowledge of corporate governance, company law, and conflict of interest management.
• Are client-oriented, proactive, and willing to always find solutions.
• Have strong team working skills and ability to build excellent relationships at senior level.
• Are fluent in English and Lithuanian (both oral and written).
• Have excellent MS Office skills.
